Effective September 2026These Terms & Conditions apply to all orders, quotations, printing, packaging, promotional products, apparel decoration, assembly, kitting, storage, warehousing, fulfillment, shipping, design and other services provided by USP Printing & Fulfillment (“USP,” “we,” “us,” or “our”).
By placing an order, approving a quotation or proof, making a payment, delivering inventory or materials to our facility, establishing a storage or fulfillment account, or otherwise authorizing USP to perform work, the customer (“Customer”) agrees to these Terms & Conditions.
Storage charges continue while inventory remains in our facility. Past-due accounts may be suspended. Inventory or other property remaining unclaimed for 180 days may be considered abandoned under these Terms and may be subject to removal, disposal, sale or other lawful disposition after any notices and procedures required by applicable law.
All orders are subject to acceptance by USP Printing & Fulfillment.
Quotations are based on the specifications, quantities, materials, artwork, production requirements, shipping requirements and other information available when the quotation is prepared.
Changes to quantity, specifications, artwork, materials, finishing, packaging, shipping, delivery requirements or other aspects of an order may result in additional charges.
Unless otherwise stated in writing, quotations are valid for 30 days.
USP reserves the right to correct typographical errors, pricing errors, calculation errors or other obvious mistakes in quotations, invoices or online pricing.
Payment is due according to the terms stated on the quotation, invoice, order confirmation or Customer account.
Unless credit terms have been approved in writing, USP may require a deposit or full payment before production begins.
Custom materials, special-order products, outsourced products, postage, freight, dies, tooling and significant third-party expenses may require advance payment.
USP may suspend production, purchasing, assembly, fulfillment, storage-related services or shipping whenever an account becomes past due.
Amounts not paid when due may be subject to a finance charge of 2% per month (24% annually), or the maximum amount permitted by applicable law, whichever is less.
Customer is responsible for reasonable costs incurred by USP in collecting past-due amounts, including collection costs and reasonable attorneys’ fees to the extent permitted by law.
USP may require future orders to be prepaid after an account becomes delinquent.
Subject to applicable law and any written credit agreement, completed products may be held and will not be required to be released, shipped or made available for pickup until amounts required for the order have been paid.
If an order has been completed but remains unpaid or is not picked up, the Customer remains responsible for the full amount of the order.
Failure to pick up an order does not constitute a cancellation and does not eliminate the Customer’s obligation to pay for work already performed.
Unless otherwise agreed in writing, storage charges may begin 30 days after completion of the order or notification that the order is ready for pickup or shipment.
Customer remains responsible for the original order amount plus applicable storage, handling, collection, freight, removal and disposal costs.
USP provides storage and warehousing for Customers participating in fulfillment, inventory-management, packaging and other programs.
Storage charges are billed according to the Customer’s quotation, fulfillment agreement, rate sheet or other written agreement.
Storage fees continue to accrue for as long as Customer inventory remains in USP’s possession, unless otherwise agreed in writing.
Stored inventory may include, without limitation:
USP may periodically adjust storage rates upon reasonable notice.
If storage, fulfillment, handling, assembly, shipping, postage, freight or other charges become past due, USP may suspend fulfillment and related services until the account is brought current.
Storage charges continue to accrue while inventory remains at USP, including during periods when an account or fulfillment services are suspended.
Subject to applicable law, USP may retain possession of inventory for amounts owed in connection with storage, transportation, handling, labor, preservation, fulfillment and other applicable charges.
Customer remains responsible for unpaid charges even when fulfillment or other services have been suspended or terminated.
Where permitted by applicable law, USP may exercise applicable warehouse, possessory, contractual or other lien rights against goods in its possession.
Customer is responsible for maintaining current contact and billing information and for arranging timely payment, pickup, shipment or disposition of its property.
For purposes of these Terms, property may be considered unclaimed or abandoned when it remains at USP for 180 days or more after completion of an order, termination of services, expiration of an agreed storage period, or a request by USP that the Customer pay outstanding charges and/or remove the property.
Before disposing of or selling property subject to statutory notice or lien-enforcement requirements, USP will provide any notice required by applicable law.
After expiration of the applicable notice period and subject to applicable law, USP may exercise available rights regarding the property, including continued storage, removal, recycling, disposal, donation or sale.
Customer is responsible for reasonable storage, handling, removal, disposal, transportation, sale, administrative and collection expenses associated with unclaimed or abandoned property.
The 180-day policy does not waive, replace or shorten any statutory notice, lien-enforcement, sale or other procedure required by applicable law.
Customer-supplied products, inventory and materials are received and stored at the Customer’s risk except to the extent a loss is directly caused by USP’s failure to exercise commercially reasonable care.
Customers should maintain appropriate insurance for high-value inventory stored at USP. USP is not an insurer of Customer inventory.
Normal manufacturing, handling, assembly, packaging and fulfillment operations may result in reasonable spoilage, damage, shortages or waste.
Customers should provide reasonable overages when exact finished quantities are critical.
USP will make commercially reasonable efforts to maintain accurate inventory records.
Minor differences may occur because of manufacturing waste, damaged items, samples, returns, replacements, receiving discrepancies, counting differences or other normal operational factors.
Inventory discrepancies should be reported promptly after discovery.
Customer is responsible for reviewing all artwork, spelling, grammar, dimensions, quantities, colors, addresses, barcodes, QR codes, variable data, dates, pricing and other content before approving production.
Approval of a proof constitutes authorization to manufacture the order.
USP is not responsible for errors contained in Customer-supplied artwork or errors visible on an approved proof.
Screen displays and digital proofs are not guaranteed to reproduce printed colors exactly. Reasonable color variation may occur between devices, materials, production processes and separate production runs.
Customer represents that it has the legal right to reproduce all artwork, photographs, logos, trademarks, text, designs, data and other materials supplied or authorized for production.
Customer is responsible for claims arising from materials supplied or authorized by Customer that infringe copyrights, trademarks, privacy rights, publicity rights or other third-party rights.
USP reserves the right to refuse work that we reasonably believe is unlawful or infringes third-party rights.
Unless specifically agreed otherwise in writing, commercially reasonable manufacturing overruns or underruns may occur.
Exact-quantity requirements must be identified before production and may involve additional charges.
Orders may be cancelled only with USP’s approval.
Customer is responsible for work performed and costs incurred before cancellation, including:
Once production has begun, an order may not be refundable.
Because most USP products are custom manufactured, customized, decorated, printed or assembled specifically for the Customer, they generally cannot be returned for reasons unrelated to a manufacturing defect or USP production error.
Claims involving shortages, damage or production defects should be submitted in writing within five (5) business days after receipt.
USP must be given a reasonable opportunity to inspect the affected product.
If USP determines that an order was produced incorrectly, USP may, at its option, repair the product, reprint or replace the affected quantity, or issue an appropriate credit.
To the extent permitted by law, USP’s liability for a valid production claim will not exceed the amount paid for the affected goods or services.
Delivery and completion dates are estimates unless USP expressly guarantees a date in writing.
USP is not responsible for delays caused by carriers, weather, equipment failure, labor disruptions, supply shortages, governmental actions, natural disasters or other circumstances beyond our reasonable control.
When USP arranges shipping on the Customer’s behalf, shipping and handling charges are the Customer’s responsibility unless otherwise agreed in writing.
USP may ship orders using UPS, FedEx, USPS, freight carriers, couriers or other delivery services.
Carrier rates, fuel surcharges, dimensional-weight adjustments, address corrections, residential surcharges, customs charges, duties, taxes and other carrier adjustments may be billed to Customer when applicable.
USP is not responsible for third-party carrier delays, delivery errors, loss or damage occurring after goods have been transferred to a carrier, except to the extent required by applicable law.
Postage and mailing funds must generally be paid in advance.
Estimated postage may differ from final postage based on USPS requirements, mailing quantities, weight, dimensions, classification, address quality or other postal factors.
USP is not responsible for USPS delivery times after mail has been accepted by USPS.
Orders involving custom dies, custom packaging, specialty materials, imported products, promotional merchandise, custom apparel, special colors or products purchased specifically for a Customer may require deposits or full advance payment.
Once materials or products have been ordered from a supplier, related costs are non-refundable unless USP is able to cancel or return them without expense.
To the maximum extent permitted by applicable law, USP will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost sales, loss of business, loss of goodwill or loss of opportunity.
To the extent permitted by applicable law, USP’s maximum liability relating to an order or service will not exceed the amount actually paid to USP for the specific goods or services giving rise to the claim.
USP is not responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including severe weather, natural disasters, fire, power outages, equipment failures, labor disputes, transportation interruptions, supply-chain disruptions, governmental actions, war, civil unrest, epidemics or carrier interruptions.
USP may suspend or terminate services when:
Termination of service does not eliminate amounts already owed.
Storage and other applicable charges may continue until Customer inventory is removed or otherwise lawfully disposed of.
These Terms and transactions with USP Printing & Fulfillment are governed by the laws of the State of California, without regard to conflict-of-law principles.
To the extent permitted by law, disputes shall be brought in a court of competent jurisdiction located in Orange County, California.
USP Printing & Fulfillment may update these Terms & Conditions from time to time.
The version applicable to an order will generally be the version in effect when the order or applicable service is accepted, unless otherwise agreed in writing.
